Ritz Project

1. Acceptance & Terms of Payment

1.1 This quotation does not guarantee availability of services or resources until the booking is confirmed in writing by Ritz Project. Bookings are confirmed on a first-come, first-served basis.

1.2 A 50% deposit is required no later than 21 (twenty-one) days prior to the event start date. The remaining balance must be paid in full 7 (seven) days before the event start date, unless otherwise agreed in writing between Ritz Project and the Client.

1.3 Payments shall be made via bank transfer only.

2.1 Any additional requirements, changes in scope, or requests beyond the agreed services must be communicated no later than 7 (seven) days prior to the event start date.

2.2 Additional services or items are subject to availability and may incur extra charges, which will be agreed upon in writing.

3.1 Ritz Project shall provide the agreed event planning, management, and execution services with professional diligence and in accordance with the confirmed proposal.

3.2 The Client shall:

(a) Provide Ritz Project with all necessary event details, schedules, participant information, and other relevant data in a timely and accurate manner.

(b) Ensure that Ritz Project is granted relevant access and data necessary for the proper execution of the event, including but not limited to venue entry (if the venue is not arranged by Ritz Project) and timely coordination with third parties where applicable.

4.1 Ritz Project shall not be held liable if fulfillment of its obligations is prevented or hindered by force majeure, which includes but is not limited to:

(a) Natural disasters, extreme weather, or pandemic restrictions.

(b) Sudden government regulations, security restrictions, or official prohibitions.

(c) Strikes, accidents, third-party failures, or other circumstances beyond the reasonable control of Ritz Project.

4.2 In such cases, Ritz Project will promptly notify the Client and both parties will seek a fair solution, which may include rescheduling or adjusting the scope of services.

5.1 If the Client cancels the event less than 14 (fourteen) days before the event start date, 100% of the Contract Price shall be chargeable.

5.2 Requests for rescheduling may be considered at the sole discretion of Ritz Project and are subject to vendor approval and availability. Any additional costs arising from rescheduling shall be fully borne by the Client.

5.3 If rescheduling is not possible due to vendor or third-party limitations, the request shall be treated as a cancellation, and the cancellation charges under Clause 5.1 shall apply.

6.1 Ritz Project may terminate this Contract with immediate effect if the Client materially breaches the terms herein, including but not limited to failure to make payments or failure to provide necessary information or access.

6.2 In the event of termination under Clause 6.1, the Client shall remain liable for all amounts due under the Contract up to the date of termination.

7.1 To the fullest extent permitted by law, Ritz Project’s liability to the Client shall be limited to direct losses only, and shall not exceed the total fees paid by the Client under this Contract.

7.2 Ritz Project shall not be liable for any indirect, consequential, incidental, or reputational damages, including but not limited to loss of business opportunities, future contracts, or goodwill, arising out of or in connection with the services provided.

7.3 The limitation set out in this Clause shall not apply in cases of gross negligence or willful misconduct by Ritz Project.

8.1 This Contract shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

8.2 Any dispute arising under or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts of Indonesia.
